Terms of service
The agreement between you and Tapforce LLC covering your use of WorthGraph, including the accounts you connect to it.
Last updated 2026-09-10
This agreement
These terms are the agreement between you and Tapforce LLC ("we", "us") for your use of WorthGraph. They are also the end user license agreement for the software. By creating an account, connecting an account, or using WorthGraph, you accept them. If you are accepting on behalf of a company, you are stating that you have the authority to bind it, and "you" means that company.
If you do not accept these terms, do not use WorthGraph.
What WorthGraph is
WorthGraph is a hosted application for managing financial records: entities, people, accounts, transactions, documents, books and tax records, together with connections to financial services you authorize.
WorthGraph is a record-keeping and analysis tool. It is not an accountant, a tax adviser, an attorney, a broker or a bank, and nothing it produces is accounting, tax, legal or investment advice. Figures, categorizations, reports and AI suggestions are aids to your own judgement and to that of the professionals you engage. You are responsible for what you file and what you rely on.
Your account
We license you a non-exclusive, non-transferable right to use WorthGraph for your own financial affairs or your organization’s, for as long as this agreement is in force.
- You must be at least 18 and able to enter a contract.
- You must register a second authentication factor. We require it on every session that reaches your data, and you may not attempt to circumvent it.
- You are responsible for what happens under your account and for the people you invite to your workspace. Tell us promptly if you believe an account has been compromised.
- Keep your account information accurate.
Your data stays yours
You own everything you put into WorthGraph and everything we retrieve on your behalf from the services you connect. We claim no ownership of it.
You grant us only the licence we need to run the service for you: to store, process, transmit, back up and display your data in order to provide WorthGraph to you and to the people you have given access. That licence exists for that purpose and ends when your data is deleted.
How we handle your data is described in the privacy policy at worthgraph.app/privacy, which forms part of this agreement.
Connected accounts
WorthGraph connects to services you authorize — QuickBooks Online, Plaid-supported financial institutions, Mercury, and others we may add.
- You represent that you are entitled to connect each account and to authorize us to access it.
- We access only the scope you authorize, and we use what we receive only to provide WorthGraph to you.
- You can disconnect any connection at any time from inside WorthGraph, which destroys the credentials we hold for it and stops all syncing. You can also revoke our access at the provider, which stops syncing; the credentials it revoked are destroyed when you disconnect inside WorthGraph or close your account.
- Your relationship with each connected provider is governed by your agreement with that provider, not by this one. We are not responsible for their services, their availability, or the accuracy of the data they return.
- A connection can break for reasons outside our control — a revoked authorization, an expired credential, a provider outage. We will surface the problem; restoring the connection is something only you can authorize.
QuickBooks Online and Intuit
We are an independent application. Intuit is not a party to this agreement.
Tapforce LLC and WorthGraph are not affiliated with, endorsed by, or sponsored by Intuit Inc. QuickBooks, QuickBooks Online and Intuit are trademarks of Intuit Inc., used here only to say what WorthGraph connects to.
Your use of QuickBooks Online is governed by your own agreement with Intuit. Intuit is not a party to this agreement, makes no warranty about WorthGraph, and has no liability to you arising from it. We access your QuickBooks company only under the authorization you grant, only within the accounting scope, and only until you disconnect.
How you may use it
Use WorthGraph for its purpose and within the law. Specifically, you may not:
- Access, or try to access, data belonging to another workspace, or probe, scan or test the security of the service except under a written agreement with us.
- Copy, decompile, reverse-engineer or create derivative works from the software, except to the extent that restriction is unenforceable where you live.
- Resell, sublicense or provide the service to third parties as your own.
- Upload malware, or use the service to store or transmit unlawful content.
- Interfere with the service’s operation, or place a load on it designed to degrade it for others.
- Use automated means to extract data at a scale or rate the interface does not offer.
We may suspend an account that is being used this way, or that presents a security risk to other customers. Where the circumstances allow it, we will tell you first.
Fees
Where a subscription or order form applies to your use of WorthGraph, its fees, term and renewal conditions are set out there and form part of this agreement. Fees are payable in advance and, except where the law requires otherwise, are non-refundable. Where no order form applies, the service is provided at no charge and we may begin charging only on notice to you, which you may decline by closing your account.
Availability and warranties
We work to keep WorthGraph available and correct, and we take its security seriously. We do not promise it will be uninterrupted or error-free, and we may take it down for maintenance.
To the fullest extent permitted by law, the service is provided "as is" and "as available", and we disclaim all warranties not expressly stated here, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that data retrieved from a connected provider is accurate or complete; that data is theirs.
Nothing in this section limits any warranty or right that cannot be excluded under the law that applies to you.
Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or anticipated savings, even if told such damages were possible.
To the fullest extent permitted by law, our total liability arising out of or relating to this agreement is limited to the greater of the amounts you paid us for the service in the twelve months before the event giving rise to the claim, or one hundred United States dollars.
These limits do not apply to a party’s fraud, wilful misconduct, or gross negligence, or to anything else that cannot be limited under applicable law.
Indemnity
You will defend and indemnify us against third-party claims arising from your use of WorthGraph in breach of this agreement, from data you put into it that you had no right to, or from your connection of an account you were not entitled to connect. We will tell you promptly about any such claim and let you control its defence, and we will not settle it without your consent.
Term, termination and what happens to your data
This agreement runs until either of us ends it.
- You can close your account at any time, for any reason, by writing to us at support@worthgraph.app.
- We can end this agreement on notice if you materially breach it and do not fix the breach within 30 days, or immediately if your use presents a security or legal risk.
- Before you go, export your data — a workspace owner can export everything at any time. On request we will erase your workspace.
- Connection credentials are destroyed on termination. Filed tax returns and audit records are retained as described in the privacy policy, because both are records of things that happened.
- The clauses that are meant to survive termination — ownership, fees already due, warranty disclaimers, liability limits, indemnity and governing law — do.
Changes to these terms
We may update these terms. If a change materially affects your rights we will give you notice before it takes effect; continuing to use WorthGraph after that means you accept it, and if you do not, close your account. The date at the top of this page is when it last changed, and the current version always lives at worthgraph.app/terms.
Governing law
This agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and each of us submits to the exclusive jurisdiction of the state and federal courts located in the State of Florida. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If any provision here is held unenforceable, it is limited to the minimum extent necessary and the rest remains in force. Neither party’s failure to enforce a provision waives it. You may not assign this agreement without our consent; we may assign it to a successor to our business.
These terms, together with the privacy policy and any order form, are the entire agreement between us about WorthGraph, and replace anything said before.
